These terms govern the affiliate relationship between Hiar and beauty directory Limited (“we”, “us”, “our”) and you as an approved affiliate (“you”, “affiliate”). By applying to and participating in our affiliate scheme, you agree to be bound by these terms.
1. Definitions
- “Platform” means The Hair & Beauty Directory, accessible at thehairandbeauty.directory, owned and operated by Hair and beauty Directory Limited.
- “Affiliate Scheme” means the referral programme set out in these terms.
- “Referral” means any person or business that signs up to a paid Platform membership or advertising package as a direct result of your introduction, tracked through your unique affiliate link or attributed to you in writing.
- “Commission” means the recurring percentage payable to you under clause 4.
- “Membership” means any paid membership tier offered on the Platform.
- “Advertising Package” means any paid promotional package offered on the Platform including but not limited to brand partnerships, sponsored content, and advertising placements.
2. Eligibility
- To apply you must be at least 18 years old and legally able to enter into a binding agreement.
- Applicants must have genuine, demonstrable connections to the hair, beauty or aesthetics industry, or to the businesses and individuals operating within it.
- We reserve the right to accept or reject any application at our sole discretion, without obligation to provide a reason.
- Current paid members and brand partners may also act as affiliates.
- Employees, directors and immediate family of HABD Limited are not eligible.
3. Application and Approval
- To apply, you must email us with a description of who you are and the network you intend to introduce.
- We will aim to respond to applications within 48 hours.
- Approval is at our sole discretion and may be withdrawn at any time in accordance with clause 11.
- Upon approval, you will receive a unique tracking link, access to your affiliate dashboard, and a pack of marketing assets.
4. Commission Structure
- You will receive 20% recurring commission on the net value of every qualifying paid Membership signup attributed to you.
- You will receive 15% recurring commission on the net value of every qualifying paid Advertising Package attributed to you.
- Commission is payable for as long as the Referral continues to pay for their Membership or Advertising Package.
- Commission is calculated on the net amount received by us after VAT, payment processing fees, refunds and chargebacks have been deducted.
- Commission rates may change with 30 days' written notice. Existing referrals will continue to pay commission at the rate in force at the time of their signup.
5. Tracking and Attribution
- Each affiliate is issued a unique tracking link. Signups completed via this link will be automatically attributed to you, subject to the user's cookie acceptance and browser
- Where two or more affiliates claim attribution for the same Referral, our records will be final and binding.
- Self referrals (signing up your own business, or businesses you control) are not eligible for commission.
6. Qualifying Signups
A Referral becomes a qualifying signup once they have:
- Completed full payment for their Membership or Advertising Package.
- Passed any applicable cooling off, refund or verification period.
- Not requested a refund or initiated a chargeback within the qualifying period.
- Free trials, free listings, and downgraded accounts do not qualify for commission unless and until they convert to a paid tier.
7. Payment Terms
- Commission is paid monthly in arrears, by bank transfer in pounds sterling (GBP) to a UK bank account.
- A minimum payout threshold of £50 applies. Where the monthly commission balance is below this threshold, the amount will roll over to the following month.
- You are responsible for providing accurate and up to date bank details. We are not liable for payments delayed or lost due to incorrect information.
- If you are VAT registered, you must invoice us for the commission amount plus VAT. If you are not VAT registered, commission will be paid as stated without VAT.
- You are solely responsible for declaring and paying any income tax, National Insurance or other tax liabilities arising from commission received.
8. Refunds, Cancellations and Chargebacks
- If a Referral cancels their Membership or Advertising Package, commission will cease from the date the cancellation takes effect.
- If a Referral receives a refund, the corresponding commission will be deducted from your next payment.
- If a chargeback is issued against a Referral, any commission previously paid in respect of that Referral will be reversed and deducted from your next payment.
- Where the deduction exceeds your current balance, the negative balance must be cleared before further commission is paid.
9. Acceptable Conduct
You agree that you will not:
- Spam or send unsolicited bulk communications.
- Make false, misleading or exaggerated claims about the Platform.
- Misrepresent your relationship with us or imply employment or partnership beyond the affiliate arrangement.
- Buy advertising on Google, Bing or any other platform using our brand name, our trademarks or close variations.
- Bid on, register or use domain names, social handles or business names that incorporate our brand name or trademarks.
- Engage in any behaviour that brings the Platform into disrepute.
- Use our brand assets in any way not approved in writing.
- Offer cash rebates, kickbacks or any inducement to Referrals in exchange for them signing up through you.
- Promote the Platform in any way that violates UK advertising standards, including the ASA CAP Code.
10. Brand Assets and Trademarks
- We grant you a limited, revocable, non-exclusive licence to use our name, logo and approved marketing materials solely for the purpose of promoting the Platform under this scheme.
- Any use of our brand outside of the materials we provide must be approved by us in writing in advance.
- All intellectual property rights in our brand, content and materials remain ours.
- Upon termination, you must immediately cease all use of our brand assets and remove them from any materials and channels under your control.
11. Termination
- Either party may terminate the affiliate relationship at any time by giving 14 days' written notice.
- We may terminate immediately and without notice if you breach these terms, bring the Platform into disrepute, engage in fraudulent activity, or fail to respond to communications for over 90 days.
- On termination, you will continue to receive commission on existing qualifying Referrals provided you are not in breach of these terms. Where termination is due to breach, all outstanding commission is forfeit.
- You may not introduce new Referrals after the date of termination.
12. Tax
- You are an independent contractor and not our employee, agent or partner.
- You are solely responsible for declaring all income received from this scheme and paying any tax, National Insurance or other liability owed.
- We will provide annual statements of commission paid on request.
13. Confidentiality
- You agree to keep confidential any information about the Platform, our pricing, our customers, our internal operations and our business plans that is not publicly available.
- This obligation continues for two years after termination of the affiliate relationship.
14. Data Protection
- Each party will comply with applicable UK data protection laws including the UK GDPR and the Data Protection Act 2018.
- If you collect any personal data of Referrals or potential Referrals, you must do so lawfully, with appropriate consent where required, and you must have your own privacy policy.
- We process your personal data in accordance with our privacy policy, available on the Platform.
15. Liability
- Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability which cannot be limited or excluded by law.
- Subject to clause 15.1, our total liability to you under or in connection with these terms is limited to the total commission paid to you in the 12 months preceding the event giving rise to the claim.
- We are not liable for any indirect, consequential or special loss including loss of profits, business or anticipated savings.
16. Changes to Terms
- We may update these terms from time to time. Material changes will be communicated to you in writing at least 30 days in advance.
- Continuing to participate in the scheme after the changes take effect constitutes acceptance of the updated terms.
17. General
- These terms constitute the entire agreement between us in relation to the affiliate scheme.
- If any part of these terms is found to be unenforceable, the rest will remain in full force.
- You may not assign or transfer your rights or obligations under these terms without our written consent.
- No failure or delay by us in enforcing any right will constitute a waiver of that right.
18. Governing Law and Jurisdiction
- These terms are governed by the laws of England and Wales.
- Any disputes arising under or in connection with these terms are subject to the exclusive jurisdiction of the courts of England and Wales.
